These Terms of Service (the “Agreement”) form a binding contract between you (“User,” “you,” or “your”) and HPK PVT LTD, doing business as SOLSYNTAX (referred to herein as “SOLSYNTAX,” “Company,” “we,” “us,” or “our”). This Agreement outlines the general conditions governing your use of our products, services, and website (collectively, the “Services”).
1. Incorporation of Additional Policies
Your use of our Services is also subject to various policies that are incorporated herein by reference, including our Privacy Policy. Specific Services may have their own additional terms that also become part of this Agreement.
2. Account Eligibility and Responsibilities
- Age Requirement: By using our Services or registering, you confirm that you are at least 18 years old. Our Services are intended only for individuals 18 or older, and any use by someone younger is unauthorized and violates this Agreement.
- Third-Party Use: If you use the Services on behalf of another party, you affirm that you have the authority to bind that party to these terms.
- Accurate Information: You are required to provide current, complete, and accurate information during registration, including a primary email address that is not associated with your domain. We may verify your details (for instance, via CNIC or phone) and you must keep your contact information updated. Inaccurate information may lead to service interruptions or account termination.
- Account Security: You are responsible for all activity that occurs under your account. Keeping your password and security details confidential is essential.
3. SOLSYNTAX Content
All content provided through our Services—including designs, text, graphics, images, videos, software, and other files (collectively, “SOLSYNTAX Content”)—is the exclusive property of SOLSYNTAX or its licensors. This content cannot be copied, modified, distributed, or reverse engineered in any form unless expressly permitted by this Agreement. Any unauthorized use will result in termination of your access and rights under this Agreement.
4. User Content
- Definition and Responsibility: “User Content” includes any information, text, photos, videos, and other material you upload, store, publish, or distribute through the Services, including on websites hosted via our Services (“User Websites”). You are solely responsible for this content and any associated activities or transactions.
- Rights and Licenses: By posting User Content, you guarantee that you have the right to do so and that your content does not infringe on third-party rights. Additionally, you grant SOLSYNTAX a non-exclusive, royalty-free, worldwide license to use, reproduce, display, modify, translate, and distribute your content solely for the purpose of providing the Services, including creating backup copies.
- Monitoring and Liability: While we do not actively monitor User Content, we reserve the right to remove any material at our discretion if it violates these terms, without any liability for doing so.
5. HIPAA Disclaimer
Our Services are not designed to comply with the U.S. Health Insurance Portability and Accountability Act (HIPAA). You are solely responsible for ensuring that your use of our Services meets any applicable laws governing the privacy and security of sensitive or personal data. The Services are not suitable for storing protected health information or data about children, and SOLSYNTAX does not enter into Business Associate Agreements.
6. Default 404 Error Page
If you do not set up a custom 404 error page, a default page provided by SOLSYNTAX will automatically be displayed whenever an invalid URL is accessed on your domain. This default page may include advertisements and other materials chosen at our discretion, and any revenue from such advertisements is retained by SOLSYNTAX. You can update your 404 configuration at any time.
7. Third-Party Products, Services, and Websites
- Third-Party Providers: Our Services might include or offer access to third-party products and services, which are subject to their own terms and conditions. We are not liable for the performance, quality, or availability of these third-party offerings.
- Reseller or Sublicensing: When SOLSYNTAX acts as a reseller or sublicensor of third-party products (“Resold Products”), we are not responsible for any changes that may affect their performance. You are only permitted to use these products in conjunction with our Services, and you may not modify or reverse engineer them.
- Links to Third-Party Websites: Our Services may include links to external websites. We do not control and are not responsible for the content, policies, or practices of these third-party sites. Accessing them is at your own risk.
8. Prohibited Parties and Export Controls
The Services are subject to export controls and economic sanctions under Pakistani law. By using the Services, you represent that you are not located in or affiliated with any prohibited country, entity, or individual, nor are you engaged in any activities (such as terrorism or weapons proliferation) that would violate Pakistani law. Additionally, you must not use our Services to facilitate any prohibited export or reexport activities.
9. Account Security and System Usage
- Software and Scripts: You are responsible for ensuring that any scripts or software installed under your account are secure, with file permissions set as restrictively as possible.
- Inode and Resource Limits: Usage exceeding specified inode limits (file and folder count) may lead to your account being removed from our backup system or even suspended.
- Monitoring: We reserve the right to monitor system usage to prevent unauthorized access and to ensure that our systems are used in accordance with this Agreement. Unauthorized connections or misuse of resources can result in account suspension.
10. Compatibility and User Responsibilities
- Cooperation and Equipment: You must cooperate with us and provide any necessary hardware or software to use the Services. Any delays in fulfilling your obligations may affect service performance, for which SOLSYNTAX is not liable.
- Content Compatibility: It is your responsibility to ensure that all User Content and hosted websites are compatible with our systems, which may change over time.
- Backup Responsibility: You must back up all User Content independently; SOLSYNTAX does not guarantee data backup.
11. Billing and Payment
- Prepayment: Fees for the Services must be paid in advance for the applicable period. It is your responsibility to maintain current payment information and settle invoices promptly.
- Auto Renewal: Your account may be automatically renewed and charged unless you notify us of your intention to cancel.
- Credit and Negative Balances: If you maintain a credit balance, it will be applied to your purchases. Insufficient funds or negative balances may result in service disruption or cancellation.
- Taxes: All fees are exclusive of applicable taxes, which will be billed separately.
- Late or Non-Payment: Failure to pay may lead to suspension or termination of services, and any pending orders may be canceled until dues are cleared.
- Domain Fees: Domain registration and renewal fees are non-refundable, and it is your responsibility to renew domains on time.
- Fraud and Invoice Disputes: Misuse of payment methods is strictly prohibited. For any billing disputes, please contact our billing department.
- Price Changes: SOLSYNTAX reserves the right to change prices, currencies, or billing terms with notice. Discounts, when offered, apply only to the initial purchase and do not affect future charges.
12. Money-Back Guarantee
We offer a 30-day money-back guarantee for hosting services only. If you are dissatisfied and cancel within 30 days, you will receive a refund for the hosting fees paid. This guarantee does not apply to dedicated servers, VPS, or any additional services.
13. Cancellations and Refunds
- Refund Eligibility: Refunds are available only for first-time accounts that meet our criteria. Duplicate or re-registered accounts are not eligible.
- Non-refundable Services: Certain products and services, including dedicated servers and additional add-ons, are non-refundable.
- Cancellation Process: To cancel the Services, you must contact us. You will remain liable for any fees incurred before the cancellation takes effect, and pending orders will be processed if funds are available.
14. Termination of Services
SOLSYNTAX may terminate your access to the Services immediately without notice if you fail to pay fees, violate this Agreement, or engage in conduct harmful to SOLSYNTAX or others. Termination will not result in a refund for any pre-paid fees, and you remain responsible for outstanding charges. Following termination, all User Content, websites, and data may be deleted.
15. Resource Usage (CPU, Bandwidth, Disk Space)
- Usage Limits for Shared Hosting: Shared hosting accounts are intended for active website content and email, not as a storage solution. Excessive use of resources may lead to review and suspension of your account.
- Content Linking Requirement: At least 90% of your website’s content must consist of linked files stored on our servers.
- Unmetered Bandwidth: Bandwidth usage for shared hosting is not monitored.
16. Reseller Terms and Responsibilities
- Reselling Restrictions: Shared accounts are not permitted for reselling hosting services. You must use a dedicated reseller account for that purpose.
- Client Support: Resellers are responsible for ensuring that their clients adhere to this Agreement and must provide customer service, billing, and technical support.
- Liability: SOLSYNTAX is not responsible for the actions of reseller clients. Resellers assume full responsibility for billing and support for their users.
17. Limitation of Liability
In no event will SOLSYNTAX, its officers, employees, or agents be liable for any indirect, incidental, consequential, exemplary, special, or punitive damages (including loss of profits or data) arising from your use of the Services or any content accessed through the Services. Our total liability shall be limited to the amount you have paid for the Services in the three months preceding the claim.
18. Refusal of Service
SOLSYNTAX reserves the right to refuse or cancel services at any time. Material deemed obscene, threatening, illegal, or in violation of this Agreement may be removed or disabled without prior notice. Additionally, abusive, vulgar, or threatening communications with our staff may result in suspension or termination of your account without refund.
19. Indemnification
You agree to defend, indemnify, and hold harmless SOLSYNTAX and its affiliates, officers, directors, employees, and agents from any claims, damages, liabilities, or expenses (including reasonable attorneys’ fees) arising from your use of the Services, breach of this Agreement, or any actions you take.
20. Arbitration
Any dispute or controversy arising out of this Agreement shall be resolved by arbitration in Islamabad, Pakistan, under the Arbitration Act of 1940. If a party needs immediate legal relief, it may seek an injunction from a competent court. The arbitration will be conducted in English, and the arbitrator’s final decision will be binding on both parties, with costs shared equally.
21. Independent Contractor Status
Both SOLSYNTAX and you remain independent contractors. This Agreement does not create any partnership, joint venture, or agency relationship. Neither party has the authority to bind or act on behalf of the other.
22. Governing Law and Jurisdiction
This Agreement is governed by the laws of Pakistan. Any claims arising from this Agreement shall be subject to the jurisdiction of Pakistani courts. The United Nations Convention on Contracts for the International Sale of Goods does not apply.
23. Data Backups and Loss
Your use of our Services is entirely at your own risk. SOLSYNTAX does not maintain backups for dedicated accounts or other purchased Services. You are solely responsible for ensuring that your data is backed up, as we assume no responsibility for any loss of files or information.
24. Disclaimer of Warranties
The Services are provided “as is” and “as available,” without any express or implied warranties of merchantability, fitness for a particular purpose, or non-infringement. SOLSYNTAX does not guarantee uninterrupted, error-free, or secure access, and is not liable for inaccuracies or omissions in any content provided.
25. Entire Agreement
This Agreement, including all policies and documents referenced herein, constitutes the complete and exclusive understanding between you and SOLSYNTAX with respect to its subject matter, superseding all prior communications and agreements.
26. Headings
Headings in this Agreement are provided solely for convenience and do not affect the interpretation of any provisions.
27. Modifications to the Agreement
SOLSYNTAX reserves the right to modify or update this Agreement at any time. Significant changes will be posted on our website for at least 30 days prior to becoming effective. Continued use of the Services after such changes constitutes your acceptance of the updated terms. If you disagree with any changes, you must cease using the Services.
28. Severability
If any provision of this Agreement is found to be invalid or unenforceable by a court, the remaining provisions will remain in full force and effect.
29. Waiver
Any failure by either party to enforce any provision of this Agreement shall not be deemed a waiver of future enforcement of that or any other provision. No single or partial exercise of any right will preclude any further exercise of that or any other right.
30. Assignment and Successors
You may not transfer or assign your rights or obligations under this Agreement without our written consent. SOLSYNTAX may assign its rights or delegate its obligations without notice. This Agreement is binding upon and will inure to the benefit of the parties and their respective successors and permitted assigns.
31. Force Majeure
Neither party will be liable for delays or failure to perform any obligation under this Agreement if such delay or failure is due to circumstances beyond its reasonable control, including but not limited to natural disasters, war, terrorism, labor disputes, or failures of third-party services.
